1. Introduction

These Terms of Service (“Terms”) govern your access to and use of LightDrive and are a binding agreement between you and LightDrive, LLC.
LightDrive is a subscription-based service that may include cloud storage, email, contacts, calendars, sharing features, and related tools and functionality made available by LightDrive, LLC.
By creating an account, accessing, or using LightDrive, you agree to these Terms. If you do not agree to these Terms, you may not access or use the service.
In these Terms, “LightDrive,” “we,” “us,” and “our” refer to LightDrive, LLC. “You” and “your” refer to the person or entity accessing or using the service.
2. Eligibility and Accounts
2.1 Eligibility.
You may use LightDrive only if you are legally able to enter into a binding contract with LightDrive, LLC and are not prohibited from using the service under applicable law.
If you are using LightDrive on behalf of a business, nonprofit, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” and “your” will refer to both you and that entity.
If you are an individual, you must be at least 18 years old to create or use a LightDrive account.
2.2 Account Registration.
To use some or all features of LightDrive, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account until you notify LightDrive of unauthorized use or a security issue.
2.3 Recovery Email and Verification.
You may be required to provide and maintain a valid recovery email address in connection with your LightDrive account. You are responsible for ensuring that your recovery email address is accurate and that you can receive messages sent to it.
LightDrive may require verification of your recovery email address or other account information before activating certain features, enabling full account access, permitting billing-related actions, or allowing continued use of the service. If required verification is not completed within the allowed time, LightDrive may restrict, suspend, or delete the account in accordance with these Terms.
2.4 Account Security.
You must promptly notify LightDrive if you believe your account, password, recovery email, or any related credentials have been compromised or used without authorization.
LightDrive may require you to take reasonable steps to secure your account, including resetting credentials, verifying account information, or temporarily limiting access while a security issue is investigated.
2.5 Responsibility for Account Use.
You are responsible for all use of your account and for all content stored, sent, uploaded, shared, or otherwise made available through your account, subject to applicable law.
You may not transfer, sell, lease, or assign your account to another person or entity without LightDrive’s prior written consent.
2.6 Account Names and Availability.
LightDrive may refuse, reclaim, or require changes to usernames, email addresses, account identifiers, or related account designations that are misleading, infringing, abusive, impersonating, confusingly similar to another user or business, or otherwise inappropriate in LightDrive’s judgment.
LightDrive may also reserve, withhold, or delay reuse of prior account identifiers, usernames, or email addresses after cancellation, suspension, or deletion for security, operational, or abuse-prevention reasons.
2.7 Right to Refuse or Disable Accounts.
LightDrive may refuse registration, disable account creation, or restrict or suspend accounts that are created through automated means, false information, fraud, abuse, spam activity, policy evasion, or other conduct that violates these Terms or threatens the integrity, security, or operation of the service.
3. Plans, Trials, and Billing
3.1 Paid Plans and Subscriptions.
LightDrive offers subscription-based plans that may differ in storage, features, service limits, and pricing. Current plan details, pricing, and included features may be presented during signup, within the service, or on LightDrive’s website.
By selecting a paid plan, you agree to pay the fees and charges applicable to that plan, together with any applicable taxes and other amounts disclosed at the time of purchase.
3.2 Free Trials.
LightDrive may offer free trials or other promotional access periods for some plans. If a free trial is offered, the trial terms, including the trial period, any eligibility limits, and any conditions for continued service after the trial ends, will be disclosed at the time of signup or promotion.
Unless LightDrive expressly states otherwise, a free trial is available only once per person or entity, and LightDrive may limit, deny, or revoke trial eligibility in cases of abuse, repeated signup attempts, policy evasion, fraud, or similar conduct.
If you begin a trial without adding a payment method, your service may be limited, restricted, suspended, or ended when the trial expires unless you add a valid payment method and enable continued paid service before the trial ends.
If you add a payment method or otherwise enable continued paid service during a trial, your subscription will convert to a paid subscription at the end of the trial period unless canceled before that time.
3.3 Automatic Renewal and Billing Authorization.
Unless otherwise stated, paid LightDrive subscriptions renew automatically for recurring billing periods of the same length as the original subscription term until canceled.
By starting a paid subscription, or by enabling continued paid service following a trial, you authorize LightDrive, LLC, or its payment processor, to charge the payment method you provide for all applicable subscription fees, taxes, prorated charges, and other amounts properly due under these Terms.
You are responsible for keeping your payment information current and valid at all times while your subscription remains active or set to renew.
3.4 Plan Changes.
LightDrive may permit you to upgrade, downgrade, or otherwise change your subscription plan. If you change plans, the new pricing, storage allotment, and service features may take effect immediately or at another time disclosed during the change process.
Plan changes may result in prorated charges, prorated credits, immediate adjustments to future billing, changes to storage allotments, or other billing effects disclosed at the time of the plan change.
LightDrive may restrict plan changes in certain account states, including where an account is unverified, restricted, suspended, under review for abuse or fraud, or otherwise ineligible for billing changes.
3.5 Billing, Taxes, and Price Changes.
Subscription fees are billed in advance for each billing period unless otherwise stated. You are responsible for all applicable taxes, duties, levies, or similar governmental charges associated with your subscription, excluding taxes based on LightDrive’s net income.
LightDrive may change subscription pricing, plan features, or service allotments from time to time. If LightDrive changes the price of your recurring subscription, LightDrive will provide notice as required by applicable law before the new price takes effect for your subscription.
LightDrive may make invoices, receipts, billing history, or related billing records available through your account, through a payment processor portal, by email, or by another reasonable method.
3.6 Cancellation by You.
You may cancel your subscription at any time through the billing settings, account interface, payment portal, or other cancellation method that LightDrive makes available for your subscription.
Unless LightDrive expressly states otherwise at the time of cancellation, cancellation stops future renewal charges but does not immediately terminate access already paid for through the current billing period. In that case, your subscription will remain active until the end of the current paid term and will then transition according to LightDrive’s account lifecycle rules, which may include limited access, suspension, deletion eligibility, or permanent deletion if the account is not reactivated.
If you cancel during a free trial, your trial access may continue through the end of the trial period unless LightDrive states otherwise.
3.7 Failed Payments and Billing Problems.
If a charge is declined, reversed, unpaid, refunded, disputed, or otherwise fails, LightDrive may retry the charge, request an updated payment method, restrict billing-related actions, limit account functionality, suspend access, or transition the account to a different lifecycle state in accordance with these Terms.
LightDrive may, but is not required to, provide a grace period or opportunity to update payment information before restricting or suspending service.
3.8 Refunds, Credits, and Immediate Account Deletion.
Except as required by law or expressly stated by LightDrive, subscription fees are non-refundable.
If LightDrive offers a refund, credit, or adjustment for unused paid service, LightDrive may take into account the unused portion of the then-current billing period, any prorated charges already assessed, any credits already applied or remaining on the account, any unpaid amounts, and any other amounts properly chargeable or creditable under the account.
If LightDrive offers an option to delete an account immediately before the end of a paid term, LightDrive may immediately disable access to the account, email, files, stored data, and related services, and may begin the deletion process at once. Any refund associated with an immediate deletion, if any, will be determined under LightDrive’s refund and billing rules then in effect and may be reduced by outstanding charges, prior credits, prior adjustments, or other applicable amounts.
3.9 Payment Processors.
LightDrive may use third-party payment processors to bill and collect subscription charges. Your use of any payment method may also be subject to the terms and privacy practices of the applicable payment processor.
3.10 Promotional Offers and Abuse Prevention.
LightDrive may limit, modify, refuse, or revoke discounts, promotions, trial offers, plan incentives, or billing-related benefits where LightDrive reasonably believes there has been abuse, fraud, repeated exploitation of promotional terms, or conduct inconsistent with the intended purpose of the offer.
4. Service Availability and Account Lifecycle
4.1 Service Availability.
LightDrive may change, improve, suspend, limit, or discontinue any part of the service at any time, with or without notice, to the extent permitted by applicable law.
LightDrive does not guarantee that the service, or any feature or portion of the service, will always be available, uninterrupted, secure, error-free, or free from delay. Access may be affected by maintenance, updates, outages, security events, third-party service failures, internet conditions, capacity limits, or other causes inside or outside LightDrive’s control.
LightDrive may perform scheduled or emergency maintenance, install updates, apply security protections, or take other operational actions that temporarily affect availability or functionality.
4.2 Account Lifecycle and Service States.
LightDrive may place an account into different operational or lifecycle states depending on billing status, verification status, security concerns, policy compliance, deletion requests, legal requirements, technical needs, or other legitimate service-related reasons.
These states may include, for example, active, restricted, suspended, pending deletion, soft-deleted, or permanently deleted. The names, descriptions, and effects of lifecycle states may be described in the service interface, help materials, billing interface, or other account communications.
Different lifecycle states may affect your ability to sign in, upload files, download files, send email, receive email, access stored data, manage billing, change plans, use sharing features, or otherwise use portions of the service.
4.3 Restricted Accounts.
LightDrive may restrict an account, in whole or in part, if the account is unverified, in a trial or post-trial state, affected by a billing problem, under security review, associated with suspected abuse, or otherwise not eligible for full access.
A restricted account may continue to have limited access to some features while other features are reduced, disabled, or blocked. LightDrive may determine which features remain available in a restricted state, including whether uploads, downloads, sending email, receiving email, sharing, billing actions, or account changes remain available.
4.4 Suspension.
LightDrive may suspend or partially suspend your account immediately, or after notice where appropriate, if:
(a) you fail to pay amounts due;
(b) you violate these Terms or any related policy;
(c) LightDrive reasonably suspects fraud, abuse, spam, phishing, unlawful activity, or security threats;
(d) your account creates risk to LightDrive, other users, or third parties;
(e) LightDrive is required to do so by law, court order, government request, or other legal obligation; or
(f) suspension is reasonably necessary to protect the integrity, availability, security, or operation of the service.
A suspended account may lose access to some or all service functionality, including login access, storage access, email sending, email receipt, sharing, or administrative actions.
4.5 Cancellation and End-of-Term Transition.
If you cancel a paid subscription, or if a paid term ends without successful renewal, LightDrive may transition your account to a different lifecycle state at the end of the paid term. That transition may include reduced functionality, limited access, suspension, deletion eligibility, or permanent deletion if the account is not reactivated or brought back into good standing.
LightDrive may, but is not required to, provide a post-cancellation or post-expiration period during which limited account access remains available.
4.6 Failed Payment Transition.
If a payment fails or your account is not brought back into good standing after a billing issue, LightDrive may transition the account into a restricted, suspended, or deletion-eligible state. During that process, LightDrive may disable plan changes, restrict features, reduce service limits, disable outbound email, limit storage access, or otherwise modify account functionality.
4.7 Reactivation and Restoration.
If LightDrive permits reactivation of a restricted or suspended account, reactivation may require payment of outstanding charges, addition of a valid payment method, selection of an eligible plan, verification of account information, or other steps reasonably required by LightDrive.
Reactivation does not guarantee restoration of all prior features, settings, stored data, identifiers, or account history if those items have already been removed, changed, expired, or become unavailable.
4.8 Soft Deletion and Deletion Eligibility.
LightDrive may place an account into a soft-deleted, pending deletion, or similar state before permanent deletion. In such a state, the account may be disabled for ordinary use while LightDrive preserves some or all account records, stored data, billing records, identifiers, or related information for a limited period for operational, security, legal, support, or abuse-prevention reasons.
During a soft-deleted or pending deletion state, access to the account may be fully blocked or substantially limited, and LightDrive may disable email, file access, sharing, login access, billing changes, and other features.
4.9 Permanent Deletion.
After an applicable retention, deletion, or holding period, LightDrive may permanently delete accounts and associated content, data, messages, files, settings, records, or identifiers, in whole or in part, without further notice to you, unless applicable law requires otherwise.
Once permanent deletion occurs, LightDrive has no obligation to restore the deleted account or content.
4.10 Preservation, Holds, and Legal Requirements.
Notwithstanding anything else in these Terms, LightDrive may delay, prevent, or limit deletion, reactivation, access, or restoration of an account or content where LightDrive reasonably determines that preservation is necessary for legal compliance, dispute resolution, fraud prevention, abuse investigation, enforcement of these Terms, security purposes, or protection of LightDrive, users, or third parties.
4.11 No Guaranteed Retention or Recovery.
Except to the extent required by law or expressly promised by LightDrive in writing, LightDrive does not guarantee any minimum retention period, restoration period, recovery process, or recoverability of deleted, expired, suspended, or inaccessible content or accounts.
4.12 Effect of Lifecycle Actions on Features and Identifiers.
Lifecycle actions may affect usernames, LightDrive IDs, email addresses, aliases, storage allotments, service limits, sharing permissions, mailbox availability, login credentials, and access to related features. LightDrive may reserve, block, retire, or delay reuse of prior identifiers, including LightDrive email addresses and usernames, for operational, security, abuse-prevention, or legal reasons.
5. User Content, Ownership, and Acceptable Use
5.1 Your Content.
LightDrive may allow you to upload, store, send, receive, transmit, share, organize, display, or otherwise make available files, messages, emails, contacts, calendars, metadata, text, images, and other content through the service. As between you and LightDrive, you retain ownership of your content, subject to the rights you grant in these Terms.
5.2 License to Operate the Service.
By uploading, storing, sending, receiving, transmitting, or otherwise making content available through LightDrive, you grant LightDrive, LLC a non-exclusive, worldwide, royalty-free license to host, store, cache, process, reproduce, transmit, display, format, adapt, organize, back up, secure, scan, and otherwise use that content solely as reasonably necessary to:
(a) operate, provide, maintain, and improve the service;
(b) authenticate users and accounts;
(c) provide requested features and functionality;
(d) protect the security, integrity, and availability of the service;
(e) detect, prevent, investigate, and address spam, abuse, fraud, malware, phishing, unlawful conduct, or violations of these Terms;
(f) comply with applicable law, court orders, governmental requests, or legal obligations; and
(g) preserve evidence, records, or account materials as permitted or required under these Terms.
This license is limited to the purposes above and does not transfer ownership of your content to LightDrive.
5.3 Your Responsibility for Content.
You are solely responsible for your content and for the consequences of storing, sending, sharing, transmitting, or otherwise making it available through LightDrive.
You represent and warrant that:
(a) you own your content or have all rights, permissions, and authority necessary to use it in connection with the service;
(b) your content and your use of the service do not violate applicable law, these Terms, or the rights of any person or entity; and
(c) your content does not infringe, misappropriate, or otherwise violate intellectual property, privacy, publicity, confidentiality, or other rights of others.
5.4 Shared Content and Public Links.
If LightDrive permits you to share content with other users, by email, by public link, or by other access methods, you are responsible for the access you grant and for the consequences of sharing.
LightDrive does not control what recipients do with content after you share it, and LightDrive is not responsible for how third parties use, copy, forward, distribute, or retain content that you choose to share.
LightDrive may disable, limit, expire, or revoke sharing features, public links, or shared access at any time for security, operational, legal, abuse-prevention, or policy-enforcement reasons.
5.5 Prohibited Use.
You may not use LightDrive, or permit others to use LightDrive through your account, to:
(a) violate any law or regulation;
(b) engage in fraud, deception, phishing, impersonation, or identity theft;
(c) send spam, unsolicited bulk messages, or deceptive commercial email;
(d) distribute malware, ransomware, spyware, malicious code, or other harmful content;
(e) gain unauthorized access to any account, system, network, or data;
(f) probe, scan, test, or circumvent the security or integrity of the service or any related system;
(g) interfere with, disrupt, overload, degrade, or impair the service or other users’ access to it;
(h) upload, store, send, or share content that is unlawful, infringing, defamatory, abusive, harassing, threatening, fraudulent, or otherwise harmful;
(i) use the service to violate the intellectual property, privacy, confidentiality, publicity, or other rights of any person or entity;
(j) exploit trials, promotions, billing flows, refunds, deletion flows, or account lifecycle processes in a fraudulent or abusive manner;
(k) create accounts through automated means or for the purpose of abuse, evasion, or unauthorized mass activity; or
(l) use the service in any way that threatens the security, integrity, legality, reputation, or operation of LightDrive.
5.6 Email and Messaging Restrictions.
If LightDrive provides email or message-sending functionality, you may not use it to send spam, deceptive messages, spoofed messages, unauthorized bulk campaigns, phishing messages, malware, or unlawful content.
LightDrive may apply sending limits, reputation controls, filtering, throttling, temporary holds, outbound mail restrictions, or other anti-abuse measures at any time. LightDrive does not guarantee message delivery, inbox placement, forwarding success, or receipt by any recipient or remote system.
5.7 Monitoring and Enforcement.
LightDrive may, but is not required to, review, screen, filter, block, remove, disable access to, preserve, or report content or account activity where LightDrive reasonably believes it is necessary to:
(a) enforce these Terms or related policies;
(b) prevent spam, abuse, fraud, phishing, malware, or security threats;
(c) protect LightDrive, users, third parties, or the public;
(d) comply with legal obligations or lawful requests; or
(e) preserve the security, integrity, and availability of the service.
LightDrive is not obligated to monitor all content or account activity, and failure to act in one instance does not waive LightDrive’s right to act in another.
5.8 Removal and Disablement of Content.
LightDrive may remove, disable access to, quarantine, reject transmission of, or refuse to store content where LightDrive reasonably believes the content violates these Terms, presents a security risk, exposes LightDrive or others to liability, or is otherwise harmful to the service or others.
LightDrive may also preserve or disclose content or account-related information where reasonably necessary for investigation, enforcement, legal compliance, or protection of rights and safety.
5.9 No Reliance on Storage for Permanent Preservation.
Unless LightDrive expressly states otherwise in writing, LightDrive is not a guaranteed archival, preservation, escrow, or permanent-backup service. You are responsible for maintaining any copies or backups you consider necessary for your own needs.
5.10 Reservation of Rights.
Except for the limited rights expressly granted to you in these Terms, LightDrive retains all rights, title, and interest in and to the service, including its software, design, functionality, branding, and related intellectual property.
6. Copyright Complaints and DMCA Policy
6.1 Copyright Policy.
LightDrive respects the intellectual property rights of others and expects users of the service to do the same.
If LightDrive receives a claim that content stored, shared, transmitted, or otherwise made available through the service infringes copyright, LightDrive may remove, disable access to, or otherwise restrict the identified material, and may take related action with respect to the associated account where appropriate.

6.3 Filing a DMCA Notice.
If you believe that material available through LightDrive infringes your copyright, you may send a written notification to LightDrive’s designated agent. To be effective, your notice should include substantially the following:
(a) a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf;
(b) identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notice, a representative list of such works;
(c) identification of the material claimed to be infringing or to be the subject of infringing activity, together with information reasonably sufficient to permit LightDrive to locate the material;
(d) information reasonably sufficient to permit LightDrive to contact you, such as your name, mailing address, telephone number, and email address;
(e) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
(f) a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner’s behalf.
6.4 Counter-Notification.
If you believe that material you submitted was removed or disabled by mistake or misidentification, you may send a written counter-notification to LightDrive’s designated agent.
To be effective, a counter-notification should comply with applicable law and include sufficient information for LightDrive to identify the removed material, the location where it appeared before removal, and the basis for your good faith belief that the removal or disablement resulted from mistake or misidentification.
Subject to applicable law, LightDrive may restore the material if it receives a valid counter-notification and does not receive timely notice that the complaining party has filed an action seeking a court order to restrain the allegedly infringing activity.
6.5 Repeat Infringer Policy.
LightDrive may suspend or terminate accounts of users who are repeat infringers, or who repeatedly submit, store, share, transmit, or make available material in violation of the intellectual property rights of others, in appropriate circumstances and in LightDrive’s discretion.
6.6 Misrepresentations.
A person who knowingly materially misrepresents that material or activity is infringing, or that material was removed or disabled by mistake or misidentification, may be liable under applicable law.
6.7 LightDrive’s Rights.
LightDrive may remove or disable access to material, preserve records, notify affected users, terminate repeat infringers, or take other steps it reasonably believes are necessary to comply with applicable law, enforce these Terms, or protect LightDrive, its users, or third parties.
7. Privacy, Data Handling, and Security
7.1 Privacy Policy.
Your use of LightDrive is also governed by LightDrive’s Privacy Policy, which describes how LightDrive may collect, use, process, store, and disclose personal information and account-related information. By using the service, you acknowledge that LightDrive may handle information as described in the Privacy Policy.
7.2 Information LightDrive Processes.
In providing the service, LightDrive may process account information, recovery-email information, billing information, usage information, technical logs, device and connection information, stored files, messages, emails, contacts, calendars, metadata, and other information reasonably necessary to operate, secure, maintain, support, and improve the service.
7.3 Service Operation and Administration.
LightDrive may access, use, preserve, and disclose account and content-related information to the extent reasonably necessary to:
(a) provide and maintain the service;
(b) authenticate users and accounts;
(c) process billing and subscription activity;
(d) provide customer support;
(e) protect the security, integrity, and availability of the service;
(f) investigate fraud, abuse, spam, malware, phishing, or other harmful activity;
(g) enforce these Terms and related policies; and
(h) comply with applicable law, legal process, governmental requests, court orders, or other legal obligations.
7.4 Security Measures.
LightDrive may use technical, administrative, and organizational measures designed to protect the service and account information. These measures may include authentication controls, access controls, logging, monitoring, filtering, rate limits, account verification steps, security reviews, and other reasonable safeguards.
7.5 No Absolute Security Guarantee.
Although LightDrive seeks to protect the service and user information, no method of storage, transmission, or electronic processing is completely secure or reliable. LightDrive does not guarantee that the service will be immune from unauthorized access, data loss, corruption, interception, security breaches, or other security failures.
7.6 Third-Party Service Providers.
LightDrive may use third-party providers, processors, vendors, hosting providers, payment processors, infrastructure services, or other service providers to help operate, maintain, secure, support, or improve the service. LightDrive may share information with such providers to the extent reasonably necessary for those purposes and subject to applicable law and contractual protections where appropriate.
7.7 Backups, Retention, and Recovery.
LightDrive may create, maintain, rotate, overwrite, or delete backups, temporary copies, logs, cached data, archived records, or retained account materials for operational, security, support, legal, or abuse-prevention purposes.
Except to the extent expressly stated by LightDrive in writing, LightDrive does not guarantee any specific backup schedule, retention period, restoration window, or successful recovery of data, content, or account materials.
7.8 Account and Security Communications.
LightDrive may send you transactional, operational, billing, legal, and security-related communications, including verification emails, recovery emails, service notices, policy notices, billing notices, account alerts, and lifecycle notices. You agree that such communications are part of the service and are not promotional communications solely because they relate to your account, subscription, or continued use of the service.
7.9 Monitoring, Logging, and Abuse Prevention.
LightDrive may monitor service activity, maintain logs, apply filters, and use automated or manual review tools to detect, prevent, investigate, and respond to spam, fraud, abuse, malware, phishing, security threats, service misuse, and violations of these Terms.
7.10 Legal Compliance and Protection of Rights.
LightDrive may preserve, use, or disclose information where LightDrive reasonably believes doing so is necessary to comply with applicable law, respond to legal process, protect the rights, property, or safety of LightDrive, its users, or third parties, investigate misconduct, or prevent harm.
7.11 International and Technical Transmission.
You understand that use of the service may involve the transmission, processing, and storage of information through networks, devices, systems, and service providers selected by LightDrive or its providers, subject to the Privacy Policy and applicable law.
7.12 Privacy and Security Responsibilities of Users.
You are responsible for maintaining the security of your account credentials, choosing how you use sharing and communication features, and maintaining any independent copies or backups you consider necessary. You are also responsible for making your own decisions about what content, information, and communications you store, send, or share through the service.
7.13 Changes to Privacy and Security Practices.
LightDrive may update its privacy, security, technical, and operational practices from time to time. Material changes to privacy practices will be addressed in accordance with the Privacy Policy and applicable law.
8. Disclaimers, Limitation of Liability, and Indemnification
8.1 Service Provided “As Is” and “As Available.”
LightDrive is provided on an “as is” and “as available” basis, with all faults and without warranties of any kind, except to the extent warranties cannot be disclaimed under applicable law.
To the fullest extent permitted by law, LightDrive, LLC disclaims all express, implied, statutory, and other warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, reliability, and freedom from harmful code.
8.2 No Warranty of Uninterrupted or Error-Free Service.
LightDrive does not warrant that the service will be uninterrupted, error-free, secure, reliable, timely, complete, or available at all times, or that defects will be corrected. LightDrive does not warrant that files, emails, messages, settings, metadata, or other content will never be lost, corrupted, delayed, intercepted, misdirected, or rendered inaccessible.
8.3 No Warranty Regarding Third Parties or User Content.
LightDrive makes no warranty and assumes no responsibility for:
(a) the conduct of users or third parties;
(b) the accuracy, legality, quality, integrity, or safety of user content;
(c) third-party services, processors, vendors, networks, or systems used in connection with the service; or
(d) the acts or omissions of recipients, viewers, or other persons who receive or gain access to content through your use of the service.
8.4 User Responsibility for Use and Backup Decisions.
You are solely responsible for your use of LightDrive and for determining whether the service is suitable for your needs. You are also responsible for maintaining any independent backups, exports, records, or alternative communications you consider necessary.
8.5 Limitation of Liability.
To the fullest extent permitted by law, LightDrive, LLC and its managers, members, officers, employees, contractors, agents, licensors, vendors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, use, data, content, communications, opportunities, or other intangible losses, arising out of or related to your access to, use of, inability to use, or reliance on the service, even if advised of the possibility of such damages.
8.6 Cap on Liability.
To the fullest extent permitted by law, the total aggregate liability of LightDrive, LLC and its managers, members, officers, employees, contractors, agents, licensors, vendors, and service providers for all claims arising out of or relating to the service or these Terms will not exceed the greater of:
(a) the total amount you paid to LightDrive for the service during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) one hundred U.S. dollars (US $100).
8.7 Basis of the Bargain.
You acknowledge that the disclaimers and limitations in these Terms are an essential basis of the agreement between you and LightDrive and that LightDrive would not provide the service on the same terms without them.
8.8 Indemnification.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless LightDrive, LLC and its managers, members, officers, employees, contractors, agents, licensors, vendors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
(a) your use of the service;
(b) your content;
(c) your violation of these Terms or any related policy;
(d) your violation of any law or the rights of any person or entity; or
(e) any use of your account by you or by a person using your credentials or account access.
8.9 Exceptions.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
9. Disputes, Governing Law, Notices, and Miscellaneous Terms
9.1 Governing Law.
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the service will be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict-of-laws principles, except to the extent preempted by applicable federal law.
9.2 Forum and Venue.
Unless applicable law requires otherwise, any dispute, claim, or controversy arising out of or relating to these Terms or the service must be brought exclusively in a state or federal court located in Iowa, and each party irrevocably submits to the personal jurisdiction and venue of those courts.
9.3 Time to Bring Claims.
To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the service must be brought within one (1) year after the claim arose, or it will be permanently barred, except where applicable law prohibits that limitation period.
9.4 Injunctive and Equitable Relief.
Nothing in these Terms prevents LightDrive from seeking injunctive, equitable, or other appropriate relief to protect its rights, property, security, systems, users, confidential information, intellectual property, or service operations.
9.5 Notices to You.
LightDrive may provide notices to you by email, recovery email, in-product message, account notification, posting within the service, posting on LightDrive’s website, or by any other reasonable method.
You agree that notices provided electronically satisfy any legal requirement that such notices be in writing, except to the extent applicable law requires otherwise.
9.6 Notices to LightDrive.

LightDrive may update its notice information by posting revised contact information in the service, on its website, or in updated Terms.
9.7 Changes to the Terms.
LightDrive may modify these Terms from time to time. The effective date of the current version will be shown with the Terms.
If LightDrive makes material changes, LightDrive may provide notice by reasonable means, including email, in-product notice, account notice, or posting updated Terms. If you continue to access or use the service after updated Terms take effect, you agree to the revised Terms. If you do not agree to the revised Terms, you may not continue normal use of the service under the revised Terms.
If you do not accept updated Terms, LightDrive may stop future renewal billing and may transition your account into a limited, restricted, or offboarding state that allows a reasonable opportunity to manage, export, or remove data, subject to applicable service restrictions and your current paid term. In some cases, LightDrive may permit the account to continue through the end of the current paid period on a non-renewing basis before further transition under LightDrive’s lifecycle rules.
LightDrive may require renewed acknowledgment or acceptance of updated Terms in connection with continued access to the service, subscription renewal, account changes, or use of particular features.
9.8 Entire Agreement.
These Terms, together with any policies, disclosures, or other documents expressly incorporated by reference, constitute the entire agreement between you and LightDrive regarding the service and supersede any prior or contemporaneous understandings, agreements, communications, or proposals relating to the service.
9.9 Severability.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
9.10 Waiver.
LightDrive’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or of any other provision, and any waiver must be in writing to be effective.
9.11 Assignment.
You may not assign, transfer, delegate, or otherwise dispose of these Terms or any rights or obligations under them without LightDrive’s prior written consent.
LightDrive may assign or transfer these Terms, in whole or in part, in connection with a corporate reorganization, merger, acquisition, sale of assets, financing transaction, change of control, or by operation of law.
9.12 Force Majeure.
LightDrive will not be liable for any delay, failure, or interruption resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, infrastructure outages, third-party service failures, governmental actions, or security incidents.
9.13 Survival.
Any provisions of these Terms that by their nature should survive termination or expiration of these Terms or your use of the service will survive, including provisions relating to payments, refunds, limitations of liability, indemnification, disputes, intellectual property, content rights, preservation, deletion, and legal compliance.
9.14 Contact and Policy References.
Additional policies, including LightDrive’s Privacy Policy and any copyright, acceptable use, refund, or billing policies that LightDrive adopts, may supplement these Terms if expressly incorporated by reference.
